Terms of Service
Last updated October 12, 2026
These terms apply when you use Prely, whether you run a business on Prely or order from a store that uses it. “Prely”, “we” and “us” mean Prely.
1. What Prely is
Prely provides online storefronts, ordering, pickup scheduling and business tools (Prely Business) for local businesses. When you order from a store on Prely, you are buying from that business, not from Prely. The business sets its own menu, prices, pickup times and policies, and is responsible for the products it sells.
2. Business accounts
- You must give accurate information and keep your sign-in details secure. You are responsible for what happens in your workspace, including what your team members do.
- Owners and admins decide who has access and what each role can do. Remove access for people who should no longer have it.
- You are responsible for your products, prices, taxes, permits, food-safety and other legal requirements, and for how you treat your customers and their information.
- Your storefront address (for example yourname.prely.us) is provided while your account is active. We may reclaim addresses that are misleading or infringe someone else’s rights.
3. Plans, trials and billing
- Plans are billed monthly and include allowances for pre-order campaigns, published products, customers and orders per campaign, and regular orders per billing period, as shown on our Pricing page. Every plan starts with a 14-day trial.
- A pre-order campaign counts once, the first time it is published or scheduled to open.
- Drafts never count. Editing, closing, reopening or completing a campaign doesn’t count again.
- A campaign that is cancelled or deleted after publishing still counts for that billing period.
- Your campaign allowance resets at the start of each billing period.
- Regular menu, phone and walk-in orders have their own monthly allowance.
- When you go past a limit and its extra allowance, new campaigns or orders of that kind pause until you upgrade or your next billing period begins. Existing campaigns and orders stay available.
- Prely charges no commission on your sales. Setup is free unless agreed otherwise in writing.
- Payment-processing fees are not included. They are charged separately by your selected payment provider (Stripe or Helcim) under that provider’s own pricing.
- Prices may change with at least 30 days’ notice. Fees already paid are non-refundable except where the law requires otherwise.
4. Payments to businesses
When a business accepts online payments, payments are processed by its own account with Stripe or Helcim, under that provider’s terms. Prely is not a party to those payments and does not hold the money. Where a store offers pay at pickup, you pay the business directly.
5. Ordering as a customer
- An order is confirmed when the store accepts it. The store may decline or cancel an order, for example if an item is unavailable.
- You can cancel online only where the store allows it and before its cancellation deadline; otherwise contact the store.
- Questions about an order, a refund or an allergy should go to the store, using the contact details on its storefront.
6. Acceptable use
Don’t use Prely to break the law, sell prohibited goods, mislead customers, send spam, collect other people’s information without permission, interfere with the service, or try to access accounts or data that aren’t yours. We may suspend accounts that put customers, businesses or Prely at risk.
7. Your content and data
Businesses keep ownership of their menus, images and customer records. You give Prely permission to host and display that content to run the service. Our Privacy Policy explains how we handle personal information.
8. Availability and changes
We work to keep Prely available and secure, but the service is provided “as is” and may occasionally be interrupted for maintenance or reasons outside our control. We may change or improve features over time and will give notice of changes that significantly reduce what your plan includes.
9. Ending your account
Businesses can close their workspace at any time. We may suspend or close an account for serious or repeated breaches of these terms, or for non-payment, after notice where reasonable. After closure, your data is handled as described in the Privacy Policy.
10. Liability
To the extent the law allows, Prely is not liable for indirect or consequential losses, or for products sold by businesses on Prely. Prely’s total liability to a business for any claim is limited to the fees that business paid Prely in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
11. General
These terms are governed by the laws of the state where Prely’s company is registered. If part of these terms is found unenforceable, the rest still applies. Questions: support@prely.us. Sales and plans: sales@prely.us.
